alltransactionsandallcontractsenteredintobetweensnc??andthecustomer,shallbegovernedbythetermsofthiscustomeragreementandthetermsofanyadditionalwrittenstatementsofsnc??tradingregulationsorsnc??additionalscheduleswhichmayfromtimetotimebesetforthoramendedbysnc??andwhichshallthereuponconstituteaportionofthiscustomeragreement,excepttotheextent(ifany)thatsnc??shallagreeornotifythecustomerinwritingthatotheroradditionaltermsapply.anyproposalsfor,additionsto,ormodificationsofthisagreement,absentwrittenagreementbyanauthorizedpersonemployedbysnc??tothecontrary,arevoidandshallhavenoeffect.
snc和客户之间所有交易和所有合同应受本项客户协议和任何关于snc的交易规章，或snc所有的附加条款约束。snc可能随时设定或更改这些条款而即时构成客户协议的一部分。如有必要(如果有的话)，如须采用其他或附加的条款，snc应以书面形式同意或通知客户。任何对此协议的补充或修改建议，如没有由snc聘请的授权人的书面协议，均为无效。
thisagreementrefersandextendstoapotentialdealingrelationshipbetweenthecustomerandsncinotcnon-deliverableforeignexchange(currencies)onaspotsettlementbasisasiscommonlydealtintheinternationalinterbankmarket,andallotherprovisionsofthisagreementnotwithstanding,thecustomeragrees,understandsandwarrantsthatthedealingrelationshipbetweenthecustomerandsnc??hereundershallnotextendatanytimetothedealing,trading,brokeringoforadvicerelatedtoanyexchangelisted.

subjecttothetermsandconditionsofthisagreement,thefullcompletionoftheaccountsetuprequirementsandacceptanceofcustomer’sapplicationtoopenanaccountwithsnc,snc?willopenandmaintainaccount(s)incustomer’snameforthepurposeofengagingincashsettledtransactionswithandforcustomerincurrenciesmarketsonaspotsettlementbasis,andprovidesuchotherservicesandproductsassnc?may,initssolediscretion,determinetoofferinthefuture.unlessexpresslystatedotherwiseinwriting,allcontractsandothertransactionsenteredintobetweensncandcustomershallbegovernedbythetermsofthiscustomeragreement,includingtheriskdisclosurestatementandsnc?tradingpolicies,totheextentannexedhereto,asamendedfromtimetotime.

riskacknowledgements（风险须知）
customeracknowledgesandunderstandsthattradingandinvestmentinleveragedotcforeigncurrencycontractsishighlyspeculative,involvesanextremedegreeofrisk,andisgenerallyappropriateonlyforpersonswhocanassumeriskoflossinexcessoftheirmargindeposit.customerunderstandsthatbecauseofthelowmargin/highleveragenormallyavailableinforeigncurrencytrading,pricechangesinforeigncurrencycontractsmayresultinsignificantlosses.suchlossesmaysubstantiallyexceedcustomer’sinvestmentandmargindeposit.bycustomerdirectingsnc?toenterintoanyforeigncurrencycontract,anyprofitorlossarisingasaresultofafluctuationintheexchangerateaffectingsuchcurrencywillbeentirelyforthecustomer’saccountandrisk.

customerwarrantsthatthecustomeriswillingandable,financiallyandotherwise,toassumetheriskofforeigncurrencytrading,andinconsiderationofsnc??carryinghis/heraccount(s),customeragreesnottoholdsnc??responsibleforlossesincurredthroughfollowingitstradingrecommendationsorsuggestionsorthoseofitsemployees,agentsorrepresentatives.customerrecognizesthatguaranteesofprofitorfreedomfromlosscannotbegivenanditisimpossibletopredictperformanceinforeigncurrencytrading.customeracknowledgesthatcustomerhasreceivednosuchguaranteesfromsnc??orfromanyofitsrepresentativesoranyintroducingbrokerorotherentitywithwhomcustomerisconductinghis/hersnc??accountandhasnotenteredintothisagreementinconsiderationoforinrelianceuponanysuchguaranteesorsimilarrepresentations.alltransactionseffectedforcustomer’saccountsandallfluctuationsinthemarketpricesofthecontractscarriedincustomer’saccountsareatcustomer’srisk,andcustomershallbesolelyliablethereforeunderallcircumstances.customerrepresentsandwarrantsthatcustomeriswillingandfinanciallyabletosustainsuchlosses,andthatthetradingofspotforeignexchange(currencies)isasuitableinvestmentvehicleforthecustomer.snc?isnotresponsiblefordelaysorpartialortotalfailuresinanyonline(electronic)tradingplatformsoranycommunicationsfacilityorothercausesbeyondsnc?reasonabledirectcontrol.thecustomerunderstandsandrecognizesthatthetransactionstobeconductedpursuanttothisagreementarenotconductedonaregulatedmarketorexchange.customerrepresentsthatitisawareoftherisksinherentinthetradingofotcforeignexchange(currencies)andisfinanciallyabletobearsuchrisksandwithstandanylossesincurred.(forafurtherdiscussionontherisksoftradingforeignexchangepleaserefertotheriskdisclosurestatement).

自每份合同签订的日期及在客户的帐户中任何交易的日期起，或者对任何snc风险声明或交易规定的修改日起，对于所有修改或更新，客户向snc表明及保证，并站在snc的利益角度同意以下：
customerisofsoundmind,legalage(18intheusa)andlegalcompetence.

customer(ifnotanaturalperson)isdulyorganizedandvalidlyexistingundertheapplicablelawsofthejurisdictionofitsorganization.

customerhasfullbeneficialownershipofcustomer’saccount.customerhasnotgrantedandwillnotgrantasecurityinterestincustomer’saccountwithsnc?(otherthanthesecurityinterestgrantedtosnc?hereunder)toanypersonwithoutsnc?priorwrittenconsent.customerhasfullbeneficialownershipofallcollateralandwillnotgrantanysecurityinterestinanycollateraltoanyperson(otherthanthesecurityinterestgrantedtosnc?hereunder)withoutpriorwrittenconsentofsnc.
客户已拥有客户帐户的全部实益。客户在snc帐户没有且而不会有对未经snc事先书面同意的任何人给予权益担保(除第二十八条安全利益给予snc)。客户拥有所有抵押的的充分实益，也不会在任何人未经snc事先书面同意的任何抵押中给予任何权益担保(除下文中利益安全给予了snc)。
customerwillexecuteanddeliveralldocuments,giveallnotices,makeallfilingsandtakesuchotheractionsassnc,initssolediscretion,deemsnecessaryordesirabletoevidenceorperfectanysecurityinterestinfavourofsnc?ortoprotectsnc?interestswithrespecttoanycollateral.
客户将像snc一样自主执行和提供所有文件，发出所有通知，进行所有备案和采取其他行动。在其认为必要或适宜时，为了有利于snc，对任何抵押提供证明或者表示尊重。
customerherebywarrantsthatregardlessofanysubsequentdeterminationtothecontrary,customerissuitabletotradeforeigncurrencyandisasophisticatedforeignexchangeinvestor.
客户在此保证，不论之后有何相反的决定，客户是适合进行外汇交易，而且是成熟的外汇投资者。
customerhasreadandunderstandstheriskdisclosurestatementcontainedinthisagreement.customerwillreviewsnc?riskdisclosures,including,withoutlimitation,snc?riskdisclosurestatement,eachtimetheyareamended.customerwillnotaffectanyopeningtransactionincustomer’saccountunlesscustomerunderstandssnc?revisedriskdisclosures,andcustomeragreesthatineffectinganyopeningtransactionitisdeemedtorepresentthatithasreadandunderstandssnc?revisedriskdisclosuresasineffectatthetimeofsuchopeningtransaction.
客户已阅读并了解本协议的风险声明。在每次对snc风险声明修订后，客户需无限制的重新阅读声明内容。客户不会影响客户的帐户中的任何开盘交易的，除非客户明白snc风险披露的修改，和客户同意在实际开盘交易时的任何开盘交易进行均被视为已经阅读并理解已修改的snc外汇风险披露。
customerhasreadandunderstandsthetradingpoliciescontainedinthisagreement,including,withoutlimitation,snc?tradingpolicies.customerwillreviewsnctradingpolicies,including,withoutlimitation,snc?tradingpolicieseachtimetheyareamended.customerwillnotaffectanyopeningtransactionincustomer’saccountunlesscustomerunderstandssncrevisedtradingpolicies,andcustomeragreesthatineffectinganyopeningtransactionitisdeemedtorepresentthatithasreadandunderstandssnc?revisedtradingpoliciesasineffectatthetimeofsuchopeningtransaction.

customeracknowledgesthatcustomerhasconductedsimulatedtradingusingthesncdemotradingplatformforaperiodthathasallowedthecustomertodevelopafullunderstandingofthesnc?internettradingplatformanonlinetradingsystemforspotforeignexchangereal-timetrading.
客户承认曾使用snc进行模拟外汇交易演示平台，已经允许客户建立一个对snc外汇网上交易平台的全面认识，为即期外汇实时交易的网上交易系统。
allinformationprovidedbycustomertosnc,includinginformationregardingcustomer’stradingexperienceandinvestmentsophistication,istrue,correctandcomplete,andcustomerwillnotifysnc?promptlyofanychangesinsuchinformation.

4.1????authorizationtotradeforcustomer’saccount
subjecttothetermsofthisagreementandallrelatedagreements,includingtheriskdisclosurestatementandsnc??tradingpoliciesdocumenthereto,thecustomeraccountapplicationandanyapplicableaddendathereto,customerauthorizessnc??toenter,purchase,sell,andclearotcforeignexchangecontractsonaspotbasisforthecustomer’saccountinaccordancewithcustomer’selectronic,writtenororalinstructionsreceivedthroughthesnc?internettradingplatform-anonlinetradingsystemconnecteddirectlytothesnc??tradeexecutiondesk,viatelephonedirectlytothesnc??tradeexecutiondesk,orviaanyothercommunicativemeansavailable.

customeragreestoberesponsibleforanytransactioninstructionreceivedbysnceitherelectronicallyviathesnc??internettradingplatform(orsimilarproduct),ororallyoverthetelephone.?beforeexecutingatransaction,sncwillrequirethecustomeratleast??toprovideusernameandpasswordauthorizationelectronicallyviaaloginprocedureorifcontactedviathetelephone,orallyviaanidentificationprocedure.?correctinformationwillauthenticatethecustomerandallowthecustomertoconducttransactionsintheauthorizedsncaccountforthatauthentication.

snc?willmakeavailable,bypostingonthesnc?internettradingplatform--anonlinetradingsystem,orbycustomerelectronicallycontactinganyalternativedesignatedbysnc,bytelephoningthesnc?dealingexecutiondesk,orbyanyothercommunicativemeansavailabletosnc?andit’scustomers,bidandaskpricesatwhichsnc?ispreparedtoenterforeigncurrencycontractswithauthorizedcustomers.eachbidoraskpriceshallbeforaspotcontractwithaspecifieddateandforaspecificforeigncurrencypair.?sncmakesnowarrantyexpressedorimplied;thatbidandaskpricesshownrepresentprevailingbidandaskpricesintheinterbankmarket.??inaddition,althoughsncreasonablyexpectstomakeavailablecontinuouspricesduringbusinesshours,becauseofanumberoffactorsincludingbutnotlimitedtotechnologyfailures,communicationsystemdelays,lackofinterbankliquidityorhighmarketvolatility,sncmakesnowarrantiesthatdealingpricesandliquiditywillbeavailablecontinuouslytocustomerseitherelectronicallyorviathetelephoneorbyanyothercommunicationdevise.

allcontractsmadeandenteredintobetweencustomerandsnchereunderwillbeenteredintobysnc?asprincipal.?snc?willreasonablyattempttoexecuteallordersthatitmay,initssolediscretion,acceptfromcustomerforthepurchaseorsaleofcontractsinaccordancewiththecustomer’selectronic,writtenortyped,ororalinstructions.however,sncshallnotberesponsibleforanylossordamagecaused,directlyorindirectly,byanyevents,actionsoromissionsbeyondthereasonabledirectcontrolofsnc,including,withoutlimitation,lossordamageresulting,directlyorindirectly,fromanydelaysorinaccuraciesinthetransmissionofordersand/orinformationduetoabreakdowninorfailureofanytransmissionorcommunicationfacilities.

customeracknowledges,understandsandagreesthatallmarketordersandnon-marketorderssuchaslimitorders,stop-lossorders,onecancelstheotherorders,oranyothernon-marketordertransmittedandacceptedbyasncrepresentative,areacceptedbysnc?andundertakenona“best-effortsbasis”inaccordancewiththerelevantprovisionsofthetradingpolicies,asamendedfromtimetotime.thecustomeracknowledges,however,thatduetomarketconditionsorothercircumstances,snc?maybeunabletoexecutetheorderatthemarketorspecifiedlevelandthecustomeragreesthatsnc?willbearnoliabilityforfailuretoexecutesuchorders.?thisincludesbutisnotlimitedtoallordersthatareenteredoveraweekendorholidayperiodwhensncisclosedfor
business.?insuchcircumstances,orderswillbeexecutedona“best-effortsbasis”oncethemarketisreopenedonthenextsncbusinessday.customeracknowledgesthatexecutionmaynotbeimmediateoratthepricedictatedbytheopeninglevelduetoimbalancesinorders,marketconditions,marketliquidityorothercircumstances.?sncshallhavenoresponsibilityfordelaysinthetransmissionofordersduetodisruption,marketconditions,failureormalofcommunicationsfacilitiesandshallnotbeliableforanyclaims,losses,damages,costsorexpenses,includingattorneys’fees,toanypersonorentityasaresultofitsnegligence.

snc?reservesthesolediscretionaryrighttolimitthenumberofopenpositionswhichcustomermayenter,acquireormaintainwithsnc,torefuseacceptanceofanyorderenteredbycustomerortoalteritsdealingrelationshipwiththecustomertoincludeorexcludeuseofanyelectronictradingnetworkorothertradeexecutionmethodinanymannerandtoanyextent.

customershallprovidetoandmaintainwithsnc?margininsuchamountsandinsuchforms,andwithinsuchlimitsassnc,initssolediscretion,mayfromtimetotimerequire.marginrequirements,includinginitial(opening)marginandmaintenancemarginrequirements,aredefinedinsnc?tradingpolicies.snc?maychangemarginrequirementsatanytime.customeragreestodepositbyimmediatewiretransfersuchadditionalmarginwhenandasrequiredbysnc,andwillimmediatelymeetallmargincallsinsuchmodeoftransmissionassnc?shall,initssolediscretion,designate;provided,however,andnotwithstandinganydemandforadditionalmargin,snc?mayatanytimeproceedtoliquidatecustomer’saccountinaccordancewithtradingpolicies.anyfailurebysnc??toenforceitsrightshereundershallnotbedeemedafuturewaiverofsuchrightsbysnc,andthecustomershallimputenoliabilitytosnc??whatsoeverforlossesresultingfromsuchfailure.nopreviousmarginrequirementbysnc?shallprecludesnc?fromincreasingordecreasingthatrequirementwithoutpriornotice.snc?maycallforadditionalmargin(“margincall”)atanytimecustomer’smarginbalancefallsbelowthesnc?maintenancemarginlevelasappliedtothataccountandatanytimesnc,initssolediscretion,believesthatitisprudenttodoso.snc?mayatanytimeliquidatecustomer’saccountinaccordancewithtradingpoliciesandparagraph12below.

anyandallcontractsandtransactionsmadeandenteredintobysnc?hereunderasaresultofcustomerdirectingsnc?toenterintosuchcontractsandtransactions,aremadeandenteredintobysnc?asprincipal.unlessotherwiseagreedtoinwritingsnc?shallactasprincipalinanyandallcontractsandtransactionswiththecustomerandnotasbroker,intermediary,agent,andadvisororinanyfiduciarycapacity.thecustomerunderstandsandrecognizesthatanyandalltransactionsandcontractsenteredasaresultofcustomerdirectingsnc??toenterintosuchtransactionsandcontractsmaybeenteredbysnc,asprincipal,withfinancialinstitutionsincluding,withoutlimitationbanks,clearinginstitutionsandforeignexchangedealers(“counterparty”)atthesolediscretionandoptionofsnc.customerrepresents,agreesandauthorizessnc??toactasprincipalinentering,delivering,selling,purchasingandclearingwithcounterpartyanyandallcustomer’scontracts.customershallguaranteeandholdsnc?harmlessagainstanylossitmaysustainthereby.snc??may,atitssolediscretionandoption,actasprincipalinpurchasing,selling,deliveringandclearinganycontracts,includingallcustomer’scontracts,withthecounterparty(s).

intheabsenceofanoffsettingorclosingliquidationtradedonepriortothecloseofbusiness,snc?isauthorizedtorolloveralloranyportionoftheforeigncurrencypositionsincustomersaccountatsnc?’sabsolutediscretionandatcustomer’srisktothenextsettlementspotdate.??rolloverswillbeexecutedatratesdeterminedbysncandatsnc’sabsolutediscretion.?rolloverdebitsorcreditswillbereflectedinthecustomer’saccountatatimeafterthenormalcloseofthebusinessdayforsnc.?sncreservestherighttochangeatitssolediscretion,anyrolloverdebitsorcreditsatanytimeifsnc,atitssolediscretiondeemsthattheamountdebitedorcreditedwasinerror.

introducingbrokerregardingthefutureprofitorlossesincustomeraccountsasaresultofthirdpartytradingsystems,researchreports,markettradingadviceorinterpretationofeconomicnewsandevents.ifcustomerreceivesinformationortradingadvicefromanintroducingbrokerorthirdparty,snc?shallinnowaybeheldresponsibleforanylossresultingfromthecustomersuseofinformationoradvice.snc?providesorotherwisemakesavailableasnc?riskdisclosuredocumenttocustomerswhentheyopenaccounts.anycustomerintroducedbyintroducingbrokersorthirdpartiesshouldcarefullyreadthesnc??accountapplication,snc??riskdisclosuredocumentandsnc??tradingpoliciesdocumentandshouldnotrelyoninformationsuppliedbytheintroducingbrokerorthirdparty.customershouldunderstandthatintroducingbrokersorthirdpartyadvisorsareoftennotregulatedbyagovernmentagencyandthattheintroducingbrokerorthirdpartyadvisorshallhavetherighttoaccessinformationregardingtheaccountofthecustomerincludingbutnotlimitedtoaccountinformation,customeraddress,phonenumber,emailaddress.theintroducingbrokerorthirdpartyadvisorwillnothavetradeauthorizationprivilegesunlessgrantedinwritingbythecustomerviathesigningofapowerofattorneydocumentauthorizingthetrading.

snc??shallnotbeliabletothecustomerforanyloss,cost,damageorexpensesustainedorincurredbythecustomer,directlyorindirectly,byreasonofanycausebeyondsnc?’scontrol,includingbutnotlimitedto,naturaldisasters,actsofgod,civilunrest,war,insurrection,?international?intervention,?governmental?action(including,?without?limitation,?exchange?controls,?forfeitures,nationalizations,devaluations),marketconditions,inabilitytocommunicatewithanyrelevantpersonorentityoranybreakdownorfailureofanytransmissionorcommunicationsystemorcomputerfacility,whetherbelongingtosnc,customeroranymarketoranysettlementorclearingsystem.

anymarketrecommendationsandinformationcommunicatedtocustomerbysnc??oranyintroducingbrokeraffiliatedwithsnc??donotconstituteanoffertosellorthesolicitationofanoffertobuyanyforeigncurrencycontract;

allcopyright,trademark,tradesecretandotherintellectualpropertyrightsinthesnc?internettradingplatform(“snc?pro”),anonlinetradingsystem,shallremainatalltimesthesole,exclusiveandabsolutepropertyofsnc?andcustomershallhavenorightorinterestinthesnc?proexceptfortherighttoaccessandusethefipasspecifiedherein.customeracknowledgesthatthesnc?proisconfidentialandproprietarytosnc?andhasbeendevelopedthroughtheexpenditureofsubstantialskill,time,effortandmoneyofsnc.thecustomeragreesandwarrantsthatcustomerwillprotecttheconfidentialityofsnc??atalltimesbyallowingaccesstothesnc?proonlybyitsemployeesandagentsonaneedtoaccessbasis.customerwillnotpublish,distribute,orotherwisemakeanyinformationavailabletothirdpartiesderivedfromorrelatingtothesnc?internettradingplatform.customerwillnotcopy,modify,de-compile,reverseengineer,andmakederivativeworksofthesnc?internettradingplatformorinthemannerinwhichitoperates.anyviolationoftheaboveshallbesubjecttoprosecutionundertheapplicablestateandfederallaws.

customeragreestoindemnifyandholdsnc,itsaffiliates,employees,agents,successorsandassignsharmlessfromandagainstanyandallliabilities,losses,damages,costsandexpenses,includingattorney’sfees,incurredbysnc?arisingoutofcustomer’sfailuretofullyandtimelyperformcustomer’sagreementshereinorshouldanyoftherepresentationsandwarrantiesmadebycustomerhereinoratanytimefailtobetrueandcorrect.exceptasotherwiseexpresslystatedherein,customeralsoagreestopaypromptlytosnc??alldamages,costsandexpenses,includingattorney’sfees,incurredbysnc??intheenforcementofanyoftheprovisionsofthisagreement,anyotheragreementsbetweensnc??andcustomer,andanycontractsandothertransactionshereunder.

snc?willnotshareorsellinformationregardingitscustomersand/orprospectivecustomers,excepttoitsemployees,agents,affiliates,partners,andassociatesasreasonablyrequiredintheordinarycourseofsnc?business,including,butnotlimitedto,snc?bankingorcreditrelationships.snc?mayalsodisclosetofederalorstateregulatoryagenciesandlawenforcementauthorities’informationregardingcustomerandcustomer’stransactionsinresponsetoarequestforsuchinformationandmaydiscloseinformationregardingcustomerandcustomer’stransactionsinresponsetoacourtorderorsubpoena.

ifmorethanonenaturalpersonasthecustomerexecutesthisagreement,allsuchnaturalpersonsagreetobejointlyandseverallyliablefortheobligationsassumedinthisagreement.ifthisagreementisexecutedbyatrust,partnershiporunincorporatedassociation,thecustomerherebyagreestoindemnify,defend,saveandholdharmlessandfreesnc?foranylosses,claims,costs,damagesandexpensesresultingdirectlyorindirectlyfrombreachofanyfiduciaryorsimilardutyorallegationthereof.

recordings(记录)
customeracknowledgesandagreesthatanyandallconversationsbetweencustomerandsncpersonnel,includingbutnotlimitedtoprincipals,agents,employeesorassociatesmay,atthesoleoptionanddiscretionofsnc,berecordedelectronicallywithorwithouttheuseofanautomatictonewarningdevice.customerfurtheragreestotheuseofsuchrecordingsandtransthereofasevidencebyeitherpartyinconnectionwithanydisputeorproceedingthatmayariseinvolvingcustomerorsnc.customerunderstandsthatsnc?destroyssuchrecordingsatregularintervalsinaccordancewithsnc?establishedbusinessproceduresandatitssolediscretion,andcustomerherebyconsentstosuchdestruction.
